UK Modern Slavery Act Annual Statement
Financial Year 2025
1. Introduction
This statement is published in compliance with the UK’s Modern Slavery Act 2015 (the “Act”) covering the financial reporting year ended December 31, 2025. It describes the steps Nuvei Corporation, together with its subsidiaries Nuvei Limited, Nuvei Global Services B.V., and Nuvei (UK) Limited (collectively, “Nuvei”), has put in place during the financial year to mitigate modern slavery risks in its business and supply chains. The Act requires large commercial organizations that carry on business in the UK to publish a statement setting out the steps the organization has taken during the financial year to ensure that modern slavery is not taking place in any of its supply chains or in any part of its own business. For the purposes of this statement, modern slavery includes, but is not limited to, forced or compulsory labour, slavery, servitude, child labour or human trafficking, or acts committed with the intent of any of the foregoing.
At Nuvei, we are committed to practicing business responsibly and ethically as we work to reach our goal of creating bigger and better payment opportunities for all.
2. Structure, Operations, Activities and Supply Chains
2.1 Structure, Operations and Activities
Nuvei Corporation is incorporated pursuant to the Canada Business Corporations Act. Our corporate headquarters, which includes product development, sales, marketing, and business operations, is located in Montréal, Québec. Nuvei has offices and employees located throughout North America, Latin America, Europe, the Middle East and Africa (MEA), and Asia Pacific (APAC).
We are a global payments technology company providing payment technology and solutions to businesses across North America, Europe, APAC, MEA, and Latin America. Nuvei's proprietary modular platform enables customers to pay or accept payments worldwide regardless of their customers' location, device, or preferred payment method. Our solutions span the entire payments stack and include a fully integrated payments engine with global processing capabilities, a turnkey solution for frictionless payment experiences, and a broad suite of data-driven business intelligence tools and risk management services. Through a single integration, we connect our customers with their customers in more than 200 markets worldwide, with local acquiring in 50+ countries. With support for over 720 payment methods and 150 currencies, our customers can capture every payment opportunity that comes their way.
Our approach to distribution is designed to enable us to efficiently market our payments and technology solutions at scale and is customized by both region and industry to optimize sales.
2.2 Supply Chain
The majority of Nuvei’s vendors are based in North America and Europe. Nuvei does not manufacture goods or handle raw materials. As a technology-based company, we consider our supply chains to be low-risk with respect to modern slavery.
Nonetheless, it remains important for us to assess the risk of modern slavery that may exist within our supply chains. Our vendors generally provide services such as consulting services, professional advisory services, and information technology (IT) hardware and software services. In some cases, our vendors may provide office equipment and office space.
3. Policies Related to Modern Slavery Risks
We maintain several policies that support our efforts to minimize the risk of modern slavery in our supply chains. We continuously review our policies and due diligence processes to adhere to human rights standards.
3.1 Code of Ethics
Nuvei has a Code of Ethics (the “Code”) in place that is a testament to the high ethical standards that lie at the foundation of our business. We emphasize honesty, professional responsibility, and compliance with the standards and regulations governing our business activity. Since we believe that these values are important at all levels of decision-making, the Code applies to all our personnel, including Nuvei’s employees, managers, and executive officers. It also extends to our vendors, who are expected to act in alignment with our values and high ethical standards. The Code covers a large scope of activities and topics, including harassment, discrimination, and health and safety in the workplace.
In accordance with the Code, Nuvei personnel and vendors who become aware of a violation of the Code or of any illegal or unethical behaviour have an obligation to report their concerns in accordance with our Whistleblower Policy.
3.2 Whistleblower Policy
Nuvei also maintains a Whistleblower Policy that provides a procedure for Nuvei personnel to report good faith concerns or complaints pertaining to any known or suspected improper practices, questionable acts, misconduct, violations of law or any other violations of the Code without fear of retaliation, harassment, or adverse employment consequences. If Nuvei personnel wish to report an incident anonymously, they are encouraged to do so through the confidential third-party hotline.
3.3 Global Anti-Discrimination and Human Rights Policy
Nuvei also maintains a Global Anti-Discrimination and Human Rights Policy in the Workplace, which embodies our commitment to operating our business free of discrimination and that promotes respect for fundamental human rights. This Policy explicitly establishes the expectation that our vendors comply with applicable laws and regulations relating to modern slavery. The Policy also applies to all of Nuvei’s employees, managers, executive officers and directors, agents, representatives, partners, and advisors. Violations under this Policy constitute violations of Nuvei’s Code.
4. Assessing and Managing Modern Slavery Risks
At Nuvei, we have an expectation that our vendors respect human rights standards and mitigate modern slavery within their businesses and supply chains. We put this expectation into action in part through provisions in our vendor agreements requiring vendors to comply with all applicable laws and regulations.
We also aim to maximize the impact of our efforts to prevent and reduce modern slavery risks in our supply chains by performing due diligence (discussed below) in respect of our important vendors.
Additionally, Nuvei ensures that its employee recruitment process complies with local labour laws and regulations. We maintain an ethical and robust recruitment process which includes verifying legal/work status, checking references, reviewing employment history, and conducting background screenings. We partner with reputable recruitment firms, ensuring all labour is sourced responsibly. At the employee onboarding stage, employees are required to acknowledge they have reviewed and will follow certain policies, including the Code and the Whistleblower Policy, which set out guidelines on the incident reporting process relevant to modern slavery violations.
5. Due Diligence Process and Remediation Measures
5.1 Due Diligence Process
We have implemented a due diligence process for our important vendors, which includes vendors in high-risk industries and geographies. This process aims to flag vendors who are at risk of modern slavery exposure in their supply chains and to identify the processes and policies our vendors have in place to avoid and reduce modern slavery risks. We expect that our vendors respect human rights standards and mitigate modern slavery within their businesses and supply chains. Important vendors are subject to the completion of a due diligence questionnaire or a requirement to demonstrate standards comparable to Nuvei’s. The due diligence questionnaire covers key factors useful in identifying modern slavery risks, such as the vendor’s structure, activities, geography, policies, compliance with national labour laws and regulations, and supply chains.
5.2 Remediation Measures
We are committed to working with vendors to address issues related to labour relations and working conditions in their supply chains. If Nuvei’s due diligence process establishes that a modern slavery risk exists, a subsequent risk assessment is conducted to determine if risk mitigation steps, remediation steps, and/or steps to terminate the relationship should be taken.
No incidents of modern slavery were identified in Nuvei’s supply chains in financial year 2025. As a result, remediation measures did not need to be taken to correct an incident of modern slavery.
Our Code, Whistleblower Policy and Global Anti-Discrimination and Human Rights Policy provide a framework for Nuvei personnel to report unethical conduct. Nuvei is committed to implementing remediation measures to correct the situation and improve the enforcement of the policies within the business and supply chains if a situation of non-compliance is reported in the future.
6. Training Provided to Employees
All Nuvei employees play a role in upholding our ethical standards, values, and principles. To honour our commitment and support our values and standards, employees are responsible for making consistent efforts to achieve Nuvei’s objectives and for understanding Nuvei’s Code. Additionally, all Nuvei employees are required annually to acknowledge they have reviewed and will follow the Code. Nuvei has also implemented mandatory training for Nuvei employees on key corporate policies, including the Code and the Whistleblower Policy.
7. Assessing Our Effectiveness
As described above, Nuvei has put measures in place to contribute to the fight against modern slavery. We have improved these measures since our last UK Modern Slavery Act Annual Statement. For example, in financial year 2025, Nuvei strengthened its modern slavery risk assessment process by centralizing compliance tracking, documentation and communications on a single platform - reducing gaps in governance and improving oversight across its vendor relationships.
Nuvei remains committed to the fight against modern slavery and will continue to review and enhance our policies and due diligence processes to mitigate the risk of modern slavery in our business and supply chains.
8. Statement and Approval
This statement is made pursuant to section 54(1) of the UK’s Modern Slavery Act 2015 and constitutes the fulfilment by the Nuvei commercial organisations identified herein of their UK slavery and human trafficking reporting obligations for the financial year ended December 31, 2025.
